Constitution and Bylaws of the Garden State Chevelles, Inc.
and all American Muscle Cars


ARTICLE 1 – Name
The name of this organization shall be GARDEN STATE CHEVELLES, INC. and all American Muscle Cars.


ARTICLE 2 – Purpose
The purpose of this organization shall be to establish an association of members for the purpose of education and encouraging the
restoration, preservation and/or modification of the 1964-1987 Chevrolet Chevelle family of automobiles and all American Muscle Cars
and charitable fundraising for those less fortunate through car shows.


ARTICLE 3 – Affiliation
This club shall be affiliated with the American Chevelle Enthusiasts Society (ACES) at 4636 Lebanon Pike, Suite 195, Nashville, TN
37076-1316, and shall serve as an affiliate club.


ARTICLE 4 – Membership
Membership shall be open to all persons with a genuine interest in the 1964-1987 Chevrolet Chevelle family of automobiles and all
American Muscle Cars; ownership is not required. ACES membership, while encouraged, is not required as a condition of membership
in the Garden State Chevelles and all American Muscle Cars. Enrollment shall require an annual membership fee to be set by the
Board of Directors.


SECTION 1 – If the Board of Directors approves a change, said change takes effect as of the first of January for any new memberships
or renewals that are due on or after January 1.


SECTION 2 – Membership is for members’ entire family. “Family” to be described as any related person residing under the same roof.
While entire family is covered by one membership, only one vote is allowed per membership.


SECTION 3 – Spouse/Partner or adult son/daughter membership – for an additional fee of $10.00 (ten), your spouse/partner or adult
son/daughter may also become a member. This allows the Spouse/partner or adult son/daughter members are also allowed to vote.


SECTION 4 – Membership is as follows:
A) Regular – Members who participate in regular club events, pay annual dues and attend regular club meetings (unless extreme
distance precludes attendance, i.e., foreign members etc).
B) Honorary – To be bestowed upon chosen distinguished persons who, in the estimation of the membership, have greatly helped
support the goals of the organization.
ARTICLE 5 – Officers


The officers of this organization shall consist of (but not limited to): a President, Vice President and Treasurer. Any member in good
standing shall be eligible to hold one of the offices. The officers of this organization shall be elected annually by the membership and
shall serve for a period of one (1) year but no more than five (5) consecutive years. Any officer may be removed from office by a threefourth
(3/4) vote of the membership.
The President shall be chief officer of the organization and shall preside at all meetings of the membership. The President shall
supervise all affairs of the organization and meetings of the membership. The President will also record the proceedings of the
organization (in the event the club has no recording secretary), handle all correspondence and maintain an attendance record of said
organization.
The Vice President shall share the workload in acting as liaison to other clubs, head committees and take over in the absence of
the President.
The Treasurer shall have joint custody, along with the President, of all association funds and securities and shall keep in the book
belonging to the organization full and accurate accounts of all receipts and disbursements. He/she shall deposit all monies, securities
and other valuable effects in the name of the organization as may be directed by the officers and the membership, taking proper
vouchers for such disbursements, and shall render to the officers and membership at regular monthly meetings, and also whenever
requested by them, an account of all transactions as Treasurer. The President shall share the duties of the Treasurer under the
approval of the Treasurer and the membership.
The Recording Secretary, an optional post mandated by a majority vote by the membership, shall be responsible for keeping full
and accurate accounts of all topics discussed at monthly meetings. This list will then, in turn, be given to the President and editor of the club publication. The notes of the Recording Secretary will become a permanent record of the organization.


ARTICLE 6 – Resignation and Expulsion
Any member may resign by written notice to the Treasurer. His/her resignation shall become effective upon receipt and upon payment
of any and all indebtedness to the organization. Expulsion and/or other disciplinary measures taken with regard to the failure to pay
dues, fees, infraction of the organization rules and regulations of other causes, shall be determined by the majority of the voting
members and after the member(s) under action shall have been given written notice at his/her last known address of his/her right to
submit his/her position to the voting membership.


ARTICLE 7 – Meetings
The annual meeting of the organization shall be held the first week of January each year (unless a legal holiday precludes this; in such
case, the annual meeting will be conducted in the second week of January) for the purpose of election of officers, annual reports of
officers and committees and such other business as may come before meetings.
The monthly meetings of this organization shall be held on the first Wednesday of each month (unless a legal holiday precludes
this; in such case, the meeting shall be postponed to the following Wednesday). Special meetings may be called at the discretion of the
President and/or at written request of five (5) or more members. A quorum shall be construed as a majority of the officers and a
minimum of six (6) members present.


ARTICLE 8 – Elections and Voting
SECTION 1 – President shall appoint a Clerk of Elections who is not a candidate for any office. Clerk of Election shall prepare and
present a ballot at the annual meeting and ensure newsletters carry absentee ballots for other members.
SECTION 2 – Only paid up members as described in Article 4, Sections 2, 3, & 4, Heading A (above) are allowed to vote at any
elections or regular meetings where voting occurs. Article 4, Section 1, is the only exception to this ruling.
SECTION 3 – Only regular members to be allowed to vote and/or hold office.
SECTION 4 – Membership fee shall be due on the first of February each year and continue annually on the same basis. There are no
exceptions.


ARTICLE 9 – Amendments to the Constitution and Bylaws
Any member in good standing may propose, by written instrument to the officers of the organization, at any regular scheduled meeting,
any irregularities, changes, additions, deletions, non-conformities, amendments and/or corrections that need to be made in or to the
constitution and bylaws. The written proposal(s) shall then be submitted to the voting membership, if a quorum exists, for a vote on
consideration by the entire voting membership. If said proposal passes by a majority of votes cast, after discussion, said proposal(s)
then shall be submitted, in writing, as ratified, to the entire membership.


ARTICLE 10 – Club Property
In the event of the termination of the Garden State Chevelles, Inc. and all American Muscle Cars, any and all property that has been
duly purchased and paid for will be sold. This sale is to be advertised in two (2) local papers.
SECTION 1 – After satisfying any and all indebtedness, remaining funds to be divided equally among approved charities and/or not for
profit organizations.

This constitution and bylaws were approved and adopted by a two-thirds (2/3) vote of the membership of this organization present
at a meeting held on the fifth day of December 1984.
This constitution was amended, as approved by a two-thirds (2/3) vote, at a meeting held on the fifth day of February, 1986. It was
further amended by unanimous vote, as approved, at a meeting held the fourth day of January 1989.
This constitution was amended, as approved by a majority vote, at a meeting held on the third day of March 1993.
This constitution was amended, as approved by a unanimous vote, at a meeting held on the third day of October 2001.
This constitution was amended, as approved by a majority vote, at a meeting held on the fifth day of June 2002.
This constitution was amended, as approved by a majority vote, at a meeting held on the fifth day of December 2007.
This constitution was amended, as approved by a majority vote, at a meeting held on the first day of February 2012.
